Stephen is a corporate and commercial solicitor with extensive experience in industry and private practice.  He is a trusted adviser to UK and overseas entrepreneurs, private companies, charities, partnerships, unincorporated associations, landed estates and their directors and trustees, on their corporate and business issues.  He is a fluent German speaker and acts for companies from the DACH region on market entry and doing business in the UK.

Approachable and empathetic, he draws on his wide experience to find solutions to the complex problems of ownership, investment, control, corporate governance, asset protection, employment and commercial succession that arise in SMEs and family-owned enterprises.

Stephen's Experience

  • Advises and manages the UK corporate requirements of the family office of an overseas family which owns a world class manufacturing company.
  • Acts for a prospecting company active  in certain parts of Africa and the Middle East. Advised on the negotiations over a detailed MOU with the applicable Ministry and on an investment prospectus for Series A investors, new articles of association, an investment agreement, consultancy agreements, directors’ service contracts and related commercial issues.
  • Advised the founding shareholders of a strategic communications and government relations agency on the introduction of a private investor, and drafted new articles of association and an investment agreement.
  • Advised two partners of an LLP on their rights under the LLP agreement and their negotiations with a problematic third partner.
  • Advised the UK subsidiary of a German logistics company on the regulatory and compliance aspects of setting up business in the UK and various issues including policy documents and directors’ loans.
  • In a previous firm, Stephen served as the Head of the Corporate and Commercial Department, as IT partner responsible for IT and, for about 5 years, as a member of the firm’s management committee.
  • Advised a German engineering group on a contract tender for work installing equipment on an offshore windfarm.

Stephen Morrall enjoys exploring history and culture on his travels, most recently the ancient Hellenic world and post war eastern Germany.

Throughout his career he has given some time pro bono to his local community, from being a governor of his childrens’ school to becoming the company secretary and providing support to the board of his local museum.

Attending theatre and concerts with his wife is a frequent pleasure, and he reads and regularly plays chamber music with friends.
