Deborah specialises in both corporate and commercial advice to small to medium-sized private companies for both UK-based and international clients, for high net worth individuals and corporate entities across a broad range of sectors.

She has extensive experience in all aspects of company work, including acquisitions and disposals of companies, groups of companies and management buy-outs, and disposal and acquisition of assets; capital re-organisations, share buy-backs, issues and debt instruments and group re-structuring; investment and joint venture agreements and their structuring and financing; subscription and shareholders’ agreements; dealing with shareholder disputes and managing minority shareholder buy-outs; ongoing corporate governance advice, company administration and company secretarial matters.

In addition to this, Deborah also provides advice on all aspects of commercial matters including intellectual property protection and licensing; negotiation of distribution, franchise and agency agreements; advertising and marketing agreements, supply of goods and services agreements, including standard terms and conditions and data protection advice.

Deborah's Experience

  • Acting for a UK-based company with an Indian trading subsidiary in its Series A and Series B Investment round.
  • Acting for a holding company in its seed investment round and follow-up investments.
  • Advising a Master Franchisee in negotiation of its Master Franchise Agreement with a US-based Franchisor.
  • Advising a group of minority equity members of an LLP on the acquisition of the LLP and the new LLP agreement.
  • Acting for a fashion retail company in securing a settlement with a dissident director/shareholder.

Deborah is married and enjoys reading, theatre in all its guises but especially opera, swimming and gardening.
